Member Contract

This document records the terms of the agreement between Zero Balancing UK Limited (the “Company”) and each Community Member

 

1. For the purposes of this document, the following terms have the meanings set out below:

 

i. “Certified Zero Balancer” means, at any time, a person who, as at that time:

a) has been certified as a Zero Balancer by the Company or any other body which is authorized by the Zero Balancing Touch Foundation or its predecessors or successors in title as a result of the successful completion of the UK Certification Programme or an equivalent authorized student training programme in any other country in order to become a Zero Balancer;

b) continues to abide by the principles and ethics of Zero Balancing as defined in the ZB Core Study Guide (Third Edition) © 2009 by the Zero Balancing Touch Foundation or the most recent later edition of that guide at that time;

c) is not in arrears in relation to the payment of the annual fee to the Company;

d) is up to date in relation to all of the obligations which need to be satisfied at that time in order to hold and maintain the status of being a certified Zero Balancer in the UK; and

e) as a result of his compliance with paragraphs a) to d) above, is thereby considered to be in “good standing”,

and a person who is at any time a Certified Zero Balancer has the status of “Cert ZB”;

 

ii. “Community Member” means, at any time, a person who, as at that time, is either a Certified Zero Balancer, a UK Certification Programme Student or a Standard Member;

 

iii.Core ZBI Course” means the initial Zero Balancing training course;

 

iv. “Standard Member” means, at any time, a person who, as at that time:

a) is not in arrears in relation to the payment of the annual fee to the Company;

b) has taken the Core ZBI Course at least once;

c) continues to abide by the principles and ethics of Zero Balancing as defined in the ZB Core Study Guide (Third Edition) © 2009 by the Zero Balancing Touch Foundation or the most recent later edition of that guide at that time; and

d) as a result of his compliance with paragraphs a) to c) above, is thereby considered to be in “good standing”; but

e) is at that time neither a Certified Zero Balancer nor a UK Certification Programme Student;

 

v.UK Certification Programme” is the Zero Balancing student training programme in the UK which is authorized by the Zero Balancing Touch Foundation or its predecessors or successors in title;

 

vi. “UK Certification Programme Student” means, at any time, a person who, as at that time:

a) is not in arrears in relation to the payment of the annual fee to the Company;

b) has taken the Core ZBI Course at least once;

c) continues to abide by the principles and ethics of Zero Balancing as defined in the ZB Core Study Guide (Third Edition) © 2009 by the Zero Balancing Touch Foundation or the most recent later edition of that guide at that time;

d) is an active participant on the UK Certification Programme;

e) as a result of his compliance with paragraphs a) to d) above, is thereby considered to be in “good standing”; but

f) is at that time not a Certified Zero Balancer;

 

vii. “Zero Balancing” is the system of bodywork originated by Dr Frederick Fritz Smith and cognate expressions, such as “Zero Balancer”, shall be construed accordingly; and

 

viii. “Zero Balancing Teacher”, at any time, means a person who, as at that time:

a) has successfully completed a Zero Balancing teacher training programme which is authorized by the Zero Balancing Touch Foundation or its predecessors or successors in title;

b) maintains his status as a member of the Zero Balancing teaching group in the UK; and

c) maintains his status as a Certified Zero Balancer.

 

2. The Company agrees that, in consideration for the annual fee that it is paid by the relevant Community Member:

 

(i)It will provide each Community Member who is a Certified Zero Balancer with:

(a) access to a dedicated zone for networking with colleagues at zerobalancinguk.org plus a listing in a “Find a Practitioner” search facility;

(b) free attendance at one national study day; and

(c) regular digital newsletters;

 

(ii) It will procure that those persons who, at the relevant time, are Certified Zero Balancers may, at the discretion of the directors, be consulted in order to canvas their views on significant matters affecting the Company (such as the level of the annual fee and the amount of the directors’ remuneration and reimbursable expenses) and on the Company’s decisions in relation to educational matters;

 

(iii) It will procure that no change is made, without the consent of each Certified Zero Balancer at the time in question, to the relevant article in the Company’s articles of association which provides for one of the directors who is required in order for there to be a quorum at a meeting of the directors of the Company to be a person who is a Certified Zero Balancer but not a Zero Balancing Teacher and one of the directors who is required in order for there to be a quorum at a meeting of the directors of the Company to be a Zero Balancing Teacher;

 

(iv) It will allow each Community Member who is a Certified Zero Balancer to use the name Zero Balancing and the associated intellectual property rights and trade marks in the course of his practice in the UK;

 

(v) It will provide each Community Member who is a UK Certification Programme Student with:

(a) access to a dedicated zone for networking with colleagues at zerobalancinguk.org;

(b) access to a mentor for the duration of the UK Certification Programme;

(c) free attendance at one national study day; and

(d) regular digital newsletters;

 

(vi) It will provide each Community Member who is a Standard Member with:

(a) free attendance at one national study day; and

(b) regular digital newsletters,

 

and that it will for the benefit of each Community Member:

(a) organise and promote an annual Zero Balancing masterclass;

(b) organise and promote one national study day in each calendar year for the benefit of all Community Members to maintain and develop their Zero Balancing skills and foster a sense of being part of the global Zero Balancing community; and

(c) determine the annual continuing professional development requirements for maintaining the status of Certified Zero Balancer.
